Terms and Conditions

These Terms and Conditions govern your access to and use of the VertexCore automated trading software platform. Please read them carefully before subscribing or connecting a trading account.

A. Parties and Definitions

Platform Operator: [LEGAL ENTITY NAME PENDING OWNER VERIFICATION]

Registration Number: [CAC RC NUMBER PENDING OWNER VERIFICATION]

Registered Office: [REGISTERED OFFICE ADDRESS PENDING OWNER VERIFICATION]

Support & Legal Inquiries: support@vertexcore.store | legal@vertexcore.store

Notice: Where exact statutory registration details remain pending corporate onboarding, the platform operates under preliminary commercial administration subject to formal Nigerian corporate verification.

For the purposes of this Agreement:

  • "Platform" means the VertexCore SaaS software application hosted at vertexcore.io, vertexcore.store, and associated APIs.
  • "Operator" means the entity identified above that owns, maintains, and provides access to the Platform.
  • "Customer" or "Subscriber" means any registered user who creates an account, subscribes to a software license, or connects trading credentials.
  • "Software" means the proprietary algorithmic trading automation tools, web dashboard, API gateways, and MetaTrader 5 execution bridges developed by the Operator.
  • "Automated Trading" means the automated calculation and algorithmic transmission of order instructions to a customer's designated broker account via software rules without manual trade-by-trade intervention.
  • "Broker" means an independent, third-party financial services firm (e.g., Deriv) holding the Customer's trading account, custody of funds, and market execution access.
  • "Trading Account" means the external account maintained by the Customer at their chosen Broker.
  • "Subscription" means a time-limited commercial license granting software access according to the selected plan.
  • "Trading Losses" means any reduction in trading account balance, equity, margin, or capital resulting from market movements, execution slippage, fees, or automated trading operations.
  • "Material Change" means any contractual modification that substantially reduces software functionality, increases user financial obligations, or alters core legal liabilities.

B. Description of the Service

VertexCore provides cloud-hosted software licensing and automation management tooling designed to interface with MetaTrader 5 terminals. Services offered include:

  • Non-exclusive software licensing to access proprietary automated execution strategies (such as the Skew-Bot algorithmic model).
  • Web-based account management, credential synchronization, and risk profile configuration.
  • Continuous cloud runtime management and heartbeat telemetry monitoring.
  • Billing and license duration tracking.
CRITICAL LEGAL CLASSIFICATION:
Purchasing a subscription purchases access to automated software tooling only. The Operator is NOT a broker, dealer, custodian, portfolio manager, pooled investment scheme, or financial adviser. The Operator does NOT take custody of customer funds, does NOT accept trading deposits, and does NOT guarantee any financial return. The Software has not been endorsed, certified, or guaranteed safe by any government agency or financial regulator.

C. Trading is a Game of Probabilities

Financial trading, derivatives, synthetic indices, and foreign exchange trading are fundamentally speculative activities governed by probabilistic outcomes.

  • Every quantitative strategy experiences winning trades, losing trades, consecutive drawdowns, and periods of adverse performance.
  • Historical Performance Disclaimer: Past performance, backtest simulations, demo account tests, and promotional demonstrations do not guarantee, predict, or imply future results. Strategies that have performed profitably in past market conditions may lose money when market dynamics, liquidity, or volatility shift.
  • Win Rate vs Profitability: A high statistical win rate does not assure net profitability. If losing trades, spreads, slippage, and overnight swap charges exceed gross gains, a high-win-rate system will experience net capital losses.
  • No automated strategy can guarantee profits, a minimum win percentage, protection against drawdown, or preservation of capital. Customers must determine independently whether they possess the financial capacity to absorb potential losses.

D. Total Loss and Financial Risk

You may lose some or all of the money deposited in your trading account. Where leverage or margin is utilized, losses can accumulate rapidly.

Automated software executes transactions according to programmatic rules. Potential technical and market hazards that can cause severe losses include:

  • Market gaps, flash crashes, and extreme spread widening during illiquid periods.
  • Broker execution delays, requotes, slippage, and order rejections.
  • Internet outages, VPS hardware reboot, network packet loss, and MT5 terminal crashes.
  • Broker margin call liquidations and forced stop-outs.
  • Discrepancies where stop-loss orders execute at a significantly worse price than requested due to market volatility.
  • User misconfiguration, including selecting excessive lot sizes or improper risk profiles.

E. No Guaranteed Profits or Investment Returns

VertexCore strictly prohibits any representation that the Software guarantees profitable returns. Customers acknowledge:

  • Demo account results represent simulated environments and do not prove equivalent live execution due to psychological factors, real slippage, and liquidity differences.
  • The Operator will never promise that the Software will recover past losses or achieve financial independence within any specified timeframe.

F. Software Licence and Acceptable Use

Subject to timely subscription payment, the Operator grants the Customer a limited, revocable, non-exclusive, non-transferable licence to access the Software solely for personal or authorized internal trading operations.

Customers agree not to:

  • Reverse engineer, decompile, or extract the underlying proprietary algorithmic code or trading models.
  • Resell, sublicense, lease, or redistribute software access without written authorization.
  • Circumvent subscription gating, authentication safeguards, or API rate limits.
  • Share account credentials with unauthorized third parties.
  • Use the platform for any unlawful purpose, fraud, or market manipulation.

G. Customer Responsibilities

The Customer retains sole responsibility for:

  • Providing accurate identity details during registration and securing login passwords and OTP codes.
  • Opening, funding, maintaining, and verifying their own independent Broker accounts.
  • Choosing appropriate lot sizes, leverage, and risk profiles suitable for their account balance.
  • Regularly monitoring trading account equity, open positions, and margin requirements.
  • Testing configurations on demo or low-risk accounts prior to committing substantial capital.

H. Third-Party Brokers and Infrastructure

The Software relies upon independent third-party services, including broker trading servers (e.g. Deriv MT5), VPS hosting providers, payment processors (Paystack), and cloud networks.

The Operator does not control and cannot guarantee the uninterrupted availability, latency, or server health of these third parties. Disconnections, maintenance windows, or broker price feed freezes are independent third-party events.

I. Subscriptions, Billing and Renewals

  • Authoritative Pricing: Subscriptions are priced according to the authoritative tier displayed at checkout (e.g., 1 Month License at $99 USD, 3 Months License at $249 USD, etc.), converted to NGN at platform exchange rates.
  • Verified Activation: Subscriptions activate only after server-side payment verification is finalized via Paystack or approved through administrative triage.
  • No Automatic Unannounced Renewals: Subscriptions run for the fixed purchased duration (e.g., 30, 90, or 365 days). Unless an explicit auto-renewal mechanism is specifically opted into by the user, subscriptions expire automatically at the end of the term.
  • Payment Does Not Guarantee Profit: Subscription fees represent payment for software access time and hosting infrastructure, never a deposit toward trading or a guarantee of investment returns.

J. Refunds and Payment Disputes

In compliance with the Federal Competition and Consumer Protection Act (FCCPA) 2018 and applicable payment gateway rules:

  • Duplicate or Incorrect Charges: Where a payment error, system malfunction, or duplicate charge occurs, the customer is entitled to a full refund upon verification.
  • Non-Delivery of Service: If verified payment settles but the platform completely fails to provision software access within 48 business hours due to Operator server fault, the customer may request a full refund.
  • Trading Losses are NOT Refundable: Discontent with trading performance, market losses, drawdowns, or broker slippage does not qualify for a subscription refund.
  • Chargebacks & Inquiries: Customers agree to contact support@vertexcore.store before initiating an external bank chargeback. If a chargeback or refund occurs, subscription access is revoked immediately and associated affiliate commissions are clawed back.

K. Service Availability and Modifications

The Operator strives to maintain high service availability but does not warrant 100% uninterrupted uptime. Scheduled maintenance, emergency security patches, and server upgrades may occur. The Operator reserves the right to modify software features, provided that material reductions in functionality for active subscriptions will be communicated with reasonable notice.

L. Liability and Disclaimers

EXCLUSION OF TRADING LOSSES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, THE OPERATOR, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT TRADING LOSSES, CAPITAL DEPLETION, MARGIN CALLS, OR BROKER LIQUIDATIONS ARISING FROM THE USE OF THE SOFTWARE.

EXCLUSION OF INDIRECT DAMAGES: IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF ANTICIPATED PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

LIABILITY CAP: THE TOTAL AGGREGATE LIABILITY OF THE OPERATOR ARISING OUT OF CONTRACT, TORT, OR BREACH OF STATUTORY DUTY SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE CUSTOMER FOR THE SUBSCRIPTION IN THE THREE (3) MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR MATTERS THAT CANNOT BE LAWFULLY EXCLUDED UNDER NIGERIAN LAW.

M. Termination and Execution Safety

Either party may terminate the account or subscription according to plan rules. The Operator may suspend or terminate access immediately in cases of fraud, security tampering, payment default, or material violation of these Terms.

security CRITICAL EXECUTION SAFETY PROTOCOL (MANAGE-ONLY MODE):

When a user pauses their trading bot, or when a subscription expires without renewal, the platform switches the execution node into Manage-Only Mode. In Manage-Only Mode, the software strictly ceases opening new trades while continuing to monitor existing open positions and trailing stops until safely resolved.

Notice: Cancelling or terminating a website subscription does NOT automatically close open positions on your broker account. You remain responsible for manually monitoring your broker terminal.

N. Privacy and Data Protection

Customer personal data is processed strictly in accordance with our separate Privacy Policy and the Nigeria Data Protection Act (NDPA) 2023.

Trading account passwords are encrypted using AES-256 at rest and decrypted strictly in volatile server memory when synchronizing with the execution node. We do not sell or rent customer data.

O. Intellectual Property

All software code, visual designs, brand names, algorithms, and documentation are the exclusive intellectual property of the Operator or licensed from third parties. Nothing in this Agreement transfers ownership of intellectual property to the Customer.

P. Complaints and Dispute Resolution

Customers experiencing grievances should first contact our dispute triage desk at legal@vertexcore.store. Both parties agree to attempt amicable resolution in good faith for at least thirty (30) days prior to initiating formal litigation.

This Agreement shall be governed by and construed in accordance with the Laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in the Federal Republic of Nigeria.

Q. Changes to These Terms

The Operator reserves the right to update these Terms to reflect legislative changes, security enhancements, or feature updates. Updates will be assigned a new sequential version number (e.g., Version 1.1) and published with an updated Effective Date.

In the event of a Material Change, customers will be prompted to affirmatively review and re-accept the updated terms before continued access to automated execution is permitted.

R. Severability and General Provisions

If any provision of this Agreement is held invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect. Failure by the Operator to enforce any right or provision shall not constitute a waiver of future enforcement.
